Terms of Service

2.1 Platform: Refers to Oduko's website, app, marketplace, tools, infrastructure, and services.

2.2 Learner: Refers to any User accessing coaching, mentorship, expert guidance, professional services, courses, workshops, communities, or marketplace items.

2.3 Contributor: Refers to any coach, mentor, expert, or professional who provides content or services on Oduko.

2.4 Content: Refers to all digital or physical materials made available on Oduko.

2.5 Marketplace: Refers to Oduko's digital marketplace where Contributors may sell digital or physical items.

2.6 Account: Refers to your registered user profile on the Platform.

3.1 To use Oduko, you must be:

• At least 18 years old; or
• Between 13 and 17 years old with verified parental or guardian consent.

3.2 Individuals under 13 are strictly prohibited from creating an account or accessing the Platform.

4.1 You agree to:

• Provide accurate and truthful information during registration.
• Maintain and promptly update your information.
• Keep your login credentials confidential.
• Notify Oduko immediately of any unauthorized use of your account.

4.2 You may not:

• Create accounts through bots or automated means.
• Use another person's identity or impersonate a third party.
• Share your account with others.

5.1 Learners may access:

• Coaching sessions
• Mentorship programs
• Workshops and events
• Courses and trainings
• Communities
• Downloadable products
• Marketplace items

5.2 Learner Responsibilities: Learners agree to:

• Engage respectfully with Contributors and other community members.
• Pay applicable fees for services or content.
• Follow community guidelines and conduct rules.
• Not redistribute, resell, or misuse Contributor content.
• Not harass, threaten, or abuse any Contributor or user.

6.1 Learners must pay fees displayed at checkout for courses, workshops, coaching sessions, and marketplace items.

6.2 Access to digital content begins immediately after purchase.

6.3 Oduko does not guarantee:

• Results or outcomes
• Availability of any specific Contributor
• Immediate responses or timeframes

Learners agree not to:

• Harass, bully, or verbally abuse Contributors or other users.
• Request inappropriate content or illegal services.
• Use the Platform for scams, fraud, or solicitation.
• Upload harmful, defamatory, hateful, or explicit material.
• Attempt to bypass Oduko systems or initiate off-platform payments.

Violation may result in account suspension or termination.

8.1 All intellectual property on Oduko, including branding, designs, interface, text, software, and media, belongs to Oduko LLC.

8.2 Learners may not:

• Copy, distribute, or modify Platform materials.
• Share or resell Contributor content.
• Record coaching sessions, workshops, or private content without permission.

8.3 Contributors retain ownership of their original materials but grant Oduko a license to host and distribute them as described in Contributor Terms.

9.1 Oduko provides the Platform "AS IS." We make no warranties regarding:

• Accuracy of information
• Availability of the Platform
• Reliability of Contributors
• Expected outcomes or results

9.2 Oduko is not liable for Contributor advice, interactions, or services.

To the fullest extent permitted by law:

• Oduko is not liable for indirect, incidental, special, or consequential damages.
• Oduko's total liability shall not exceed amounts paid in the last 30 days.
• Oduko is not responsible for user conflicts, physical product issues, or coaching outcomes.

11.1 Contributors must be at least 18 years old and provide accurate onboarding information.

11.2 Contributors retain ownership of their content but grant Oduko a license to host and distribute it.

11.3 Contributors must not upload plagiarized content, provide unlicensed professional advice, or engage in platform circumvention.

12.1 Payout Schedule: Contributors receive payouts 2 days after course purchases, workshop completions, coaching session completions, and marketplace purchases.

12.2 Platform Fees: Oduko charges a 10% platform fee on all transactions. Stripe fees are also deducted from Contributor payouts.

12.3 Refund Window: Learners may request a refund within 7 days of purchase unless a workshop has occurred, coaching session was completed, digital download was accessed, or significant course content was consumed.

12.4 If a refund is approved, Contributor earnings may be reversed and deducted from future payouts.

13.1 Contributors may sell digital downloads, templates, e-books, worksheets, courses, and physical items.

13.2 For physical products, Contributors handle shipping and delivery. Oduko does not manage physical product logistics.

13.3 Prohibited items include illegal products, weapons, explicit materials, and counterfeit items.

You agree to indemnify and hold harmless Oduko from claims arising out of:

• Your use of the Platform
• Your breach of these Terms
• Your interactions with Contributors
• Your violation of laws or third-party rights

15.1 These Terms are governed by California law.

15.2 Disputes shall first attempt resolution through mediation.

15.3 If unresolved, disputes will be settled through binding arbitration under the AAA rules in California.

15.4 Class-action lawsuits are waived.

Oduko may update these Terms at any time. Updated versions will include a "Last Updated" date. Continued use of the Platform constitutes acceptance.
